Item 5.07 Submission of Matters to a Vote of Securityholders.

On June 14, 2022, Clear Secure, Inc. (the “Company”) held its annual meeting of stockholders. In accordance with the Company’s Second Amended and Restated Certificate of Incorporation, holders of Class A common stock, $0.00001 par value per share (“Class A Common Stock”) and Class C common stock, $0.00001 par value per share (“Class C Common Stock”) have one vote per share, and holders of Class B common stock, $0.00001 par value per share (“Class B Common Stock”) and Class D common stock, $0.00001 par value per share (“Class D Common Stock,” and, collectively with the Class A Common Stock, Class B Common Stock and Class C Common Stock, the “Common Stock”) have twenty votes per share. The proposals are described in the Company’s proxy statement for the 2022 Annual Meeting of Stockholders filed with the Securities and Exchange Commission on April 27, 2022. The final results for the votes regarding each proposal are set forth below.
