Clear Secure, Inc. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 (this “Form 12b-25”) with respect to its Annual Report on Form 10-K for the year ended December 31, 2022. The Registrant was unable to timely file its Annual Report on Form 10-K by the prescribed filing deadline of 5:30 p.m. (ET), March 1, 2023 without unreasonable effort or expense due to additional time needed to complete the presentation of its financial statements. The Annual Report on Form 10-K was accepted by the U.S. Securities and Exchange Commission at 8:52 p.m. on March 1, 2023.
